1. The Mission
The Eagle will do the work described below. Anything not listed under 'In scope' is not included. The problem, scope, finish line, dates, and location will be defined in writing after the initial consultation and added to this agreement before work begins.
2. Price and Payment
Format, rate, estimated total, and deposit (if any) will be confirmed in writing after the initial consultation. A minimum of one (1) billable hour applies to all engagements. Travel is billed at the IRS standard mileage rate; travel time is not separately billed. The Eagle sends an invoice when the mission is complete (or at the end of each week for longer missions). Payment is due within 7 days of the invoice. If a payment is more than 14 days late, the Eagle may pause work until the account is current. The client will not be charged for anything not listed in the agreed scope or approved in writing.
3. Changes
If either party wants to change the scope, the price, or the dates, the change must be agreed in writing (email or text is fine) before the extra work is done.
4. Rescheduling and Cancelling
Either party may reschedule or cancel a work date with at least 48 hours notice at no charge. If the client cancels with less than 48 hours notice, the Eagle may keep the deposit to cover the reserved time. If the Eagle cancels, the client gets a full refund of any payment for the cancelled time, or a new date if the client prefers.
5. Ending This Agreement Early
Either party may end this agreement at any time by written notice. The client pays only for work done and approved expenses up to that point, and the Eagle refunds any part of the deposit that has not been earned. The Eagle hands over any finished work the client has paid for.
6. What Each Side Agrees To
The Eagle agrees to: show up on time and prepared; do the work carefully and honestly; tell the client plainly if a problem is outside his skill or needs another professional; and hand the work over so the client can run it without him.
The client agrees to: give accurate information; provide the access, people, and decisions the work needs; keep current backups of any computer systems or data before technology work begins; and pay on time.
7. Confidentiality
Both parties will keep private anything they learn about each other's business, finances, people, or personal life during this mission, and will not share it without permission, unless the law requires it or someone's safety is at immediate risk. This promise continues after the mission ends.
8. Who Owns the Work
Once paid in full, the client owns the documents, systems, and setups the Eagle creates specifically for the client. The Eagle keeps ownership of his general methods, know-how, and templates, and may keep using them with other clients without sharing the client's private information.
9. What This Is Not
The Eagle provides operational, efficiency, and technology services. This is not legal, tax, accounting, medical, or mental health treatment, and it is not therapy. The Eagle will refer the client to a qualified professional when that is what the situation needs. The Eagle will give honest, best-effort work, but specific business, financial, or personal results cannot be guaranteed.
10. Limits of Responsibility
Each party is responsible for its own actions. If something goes wrong, the most either party can owe the other under this agreement is the total amount paid or owed for this mission, and neither party is responsible for lost profits or other indirect losses. These limits do not apply to fraud, intentional wrongdoing, or gross negligence. The Eagle is not responsible for problems that existed before the mission started, or for loss of data the client did not back up.
11. Independent Operator
The Eagle works as an independent contractor, not as an employee, and is responsible for his own taxes and tools. The Eagle decides how the work is done within the scope and finish line above.
12. Lawful, Safe, and Non-Political Work
All work must be lawful. The Eagle may stop work and end this agreement if asked to do anything illegal, unsafe, or dishonest. The Eagle stays politically neutral and does not take on campaign, protest, rally, or other political work. Both parties confirm they are 18 or older.
13. If There Is a Disagreement
The parties will first talk it out directly and in good faith. If that does not resolve it within 30 days, they will try mediation in South Carolina before going to court. This agreement follows South Carolina law.
14. The Whole Agreement
This document is the entire agreement between the parties for this mission. It can only be changed in writing agreed by both. If any part is found unenforceable, the rest still applies. Electronic signatures and signed copies count the same as originals.
